1. Definitions
In these terms, "ultimAItech" means the sole proprietorship at Veneweg 199, 7946 LP Wanneperveen, Netherlands (Chamber of Commerce 98782800), and "client" means the party entering into an agreement with ultimAItech.
2. Applicability
These terms apply to all quotes, offers, and agreements between ultimAItech and the client, unless agreed otherwise in writing.
3. Quotes and fixed pricing
Quotes are non-binding and valid for 30 days unless stated otherwise. ultimAItech works with a fixed price upfront: the price and scope in the quote are fixed so there are no surprises later. Additional work outside the agreed scope is quoted separately in advance.
4. Performance
ultimAItech performs the assignment to the best of its ability. The client provides content, access, and feedback in time. Interim demos are part of the process so the client can review and give feedback at each milestone.
5. Delivery and aftercare
On delivery, the client receives the working website or software including explanation and documentation. An agreed aftercare period applies for questions and minor adjustments. Delivery dates are target dates, not hard deadlines, unless explicitly agreed otherwise.
6. Payment
Unless agreed otherwise, payment is due within 14 days of invoice date. Larger projects may be invoiced in instalments (e.g. a deposit at start and the balance on delivery).
7. Intellectual property
After full payment, the client receives usage rights to the delivered work and, where agreed, the source code — so you are not locked to one supplier. Generic components, libraries, and knowledge ultimAItech reuses for other clients remain ultimAItech property.
8. Liability
ultimAItech's liability is limited to the invoice amount of the relevant assignment. ultimAItech is not liable for indirect damage or outages at external services (such as hosting, domain registration, or third-party services).
9. Complaints
If you have a complaint about delivered work, report it within a reasonable time by email and we will work towards an appropriate solution together.
10. Governing law
Dutch law applies to all agreements. Disputes are submitted to the competent court in the district where ultimAItech is established.
